BY CLICKING THE ACCEPTANCE BUTTON, CREATING AN ACCOUNT, PURCHASING A SESSION OR SUBSCRIPTION, OR OTHERWISE USING THE BAYES.AI APPLICATION AND RELATED SERVICES PROVIDED BY BAYRIS, INC. (COLLECTIVELY, THE "SERVICES"), THE INDIVIDUAL OR ENTITY USING THE SERVICES ("USER" OR "YOU") CONSENTS TO BE BOUND BY, AND BECOMES A PARTY TO, THESE TERMS OF SERVICE ("AGREEMENT"). IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, YOU MUST NOT USE THE SERVICES.
BAYRIS, INC. MAY ADD OR REMOVE FEATURES, POLICIES, OR RULES, OR AMEND OR UPDATE THIS AGREEMENT AT ANY TIME, WITHOUT PRIOR NOTIFICATION, AT ITS SOLE DISCRETION. YOUR CONTINUED USE OF THE SERVICES FOLLOWING ANY SUCH REVISIONS CONSTITUTES ACCEPTANCE OF SUCH CHANGES.
This Agreement sets forth the terms and conditions for use of the Bayes.ai web application located at www.bayes.ai (the "Site") and all related services, owned and operated by Bayris, Inc. ("Bayris," "we," "us," or "our"). This Agreement incorporates the provisions stated in the Privacy Policy and any accompanying documentation. Together, these documents constitute the complete agreement between you and Bayris regarding your use of the Services.
Bayris grants you a nonexclusive and nontransferable license to access and use the Services. Use of the Services is by license, and not by sale, and is granted only under the terms of this Agreement. Bayris reserves all rights not expressly granted herein. This Agreement does not entitle you to individualized support, although support services, updates, and documentation may be made available through the Site from time to time.
The Bayes.ai application, developed and operated by Bayris, is a project planning tool that combines constraint solving with Monte Carlo simulation to produce probabilistic project schedules. The Services include a visual plan editor, a proprietary constraint solver and scheduler, schedule and probability distribution generation, and optional AI-powered plan generation using the Claude API provided by Anthropic, PBC.
The Services are provided as a planning tool and should be used as part of a larger decision-making process. The solver, scheduler, and AI-generated outputs are computational suggestions based on the inputs you provide. They are not designed or intended to constitute professional advice, and Bayris expressly disclaims any warranty of fitness for such use. You are solely responsible for reviewing, validating, and verifying all outputs before relying on them for real-world project decisions, resource allocation, budgeting, or any other purpose.
Pro subscribers may share project schedules with third parties via tokenized links. Each share may include up to one hundred (100) email recipients. Share links expire automatically after thirty (30) days. Bayris reserves the right to revoke share links at any time without notice.
The Services are offered in three tiers. The Free Tier provides access to the plan editor, constraint solver, and scheduler, subject to entity limits. The Session tier (Pay Per Use) is available for a one-time fee of two dollars ($2.00) per day and includes AI-powered chat and editing, unlimited entities, and a twenty-four-hour session window. The Subscription tier (Pro) is available for eight dollars ($8.00) per month and includes all Session-tier features plus unlimited AI sessions, cloud backup and sync, and access across multiple devices.
All payments are processed by Stripe, Inc. Bayris does not collect, process, or store your payment card information. Credit card information is handled solely by Stripe in accordance with Stripe's PCI-DSS compliance obligations and privacy practices.
Subscription fees are billed on a recurring monthly basis and will automatically renew until cancelled. You may cancel your subscription at any time through the Stripe customer portal. Cancellation takes effect at the end of the current billing period, and you will continue to have access to subscription features until that date. Bayris will not issue prorated refunds for partial subscription periods.
Session purchases are non-refundable once the session has been activated. Subscription refunds may be issued on a case-by-case basis for requests submitted within the first seven (7) days of a billing cycle. To request a refund, contact Bayris at support@bayris.com. Bayris will not refund subscription fees for accounts that have remained inactive during the subscription period.
By using the Services, you allow Bayris the use, collection, and analysis of data generated through your use of the Services for the purposes described in the Privacy Policy, including internal analytics, service improvement, and abuse prevention. The technical processing and transmission of your data is necessary to access and use the Services.
You expressly acknowledge that the use of the Services involves transmission of data over the Internet and various networks, only part of which may be owned, operated, or controlled by Bayris. You acknowledge and understand that data transmitted across the Internet may be subject to unauthorized access by third parties. Bayris is not responsible for any data that is delayed, lost, altered, intercepted, or stored during transmission across networks not owned, operated, or controlled by Bayris, including but not limited to the Internet, third-party services, and your local network. You agree that Bayris is not responsible for disruptions caused by security breaches, Internet outages, or third-party service failures, and you waive any and all claims against Bayris in connection with such disruptions.
If you purchase a paid session or subscription, Bayris will issue an authentication token to enable access to the Services. You may not share your session credentials with any other person or entity. You are responsible for all activity occurring under your account and for safeguarding your access credentials. You agree to promptly notify Bayris of any unauthorized use of the Services by contacting support@bayris.com.
You are responsible for your use of the Services and agree to refrain from: (i) using the Services for any unlawful or tortious purpose; (ii) licensing, sublicensing, selling, reselling, renting, leasing, transferring, assigning, distributing, or otherwise making the Services available to third parties; (iii) using the Services to transmit or process unlawful, infringing, obscene, threatening, offensive, or harmful content; (iv) uploading or transmitting any viruses, Trojan horses, worms, or other malicious code intended to damage, intercept, or expropriate any systems, data, or property; (v) interfering with or disrupting the integrity or performance of the Services or their underlying infrastructure; (vi) attempting to gain unauthorized access to the Services or their related systems or networks; (vii) using security testing tools to probe, scan, or penetrate the security of the Services without prior written authorization; (viii) employing data mining, robots, scrapers, or similar automated data-gathering methods; (ix) accessing the Services for the purpose of building a similar or competitive product; or (x) attempting to discover any source code or modifying the Services by reverse engineering, decompiling, disassembling, or creating derivative works.
Bayris holds title to the Services and all associated documentation and intellectual property, which is protected by copyright, trade secret, and other intellectual property laws and by international treaties. All right, title, and interest in the Services, including any updates, adaptations, translations, customizations, or derivative works, and all intellectual property rights therein, shall remain with Bayris. The Services are licensed on a subscription or session basis and are not "sold" to you. You acknowledge these rights and agree not to take any action to jeopardize, limit, or interfere with Bayris's intellectual property in any manner.
You retain all ownership rights to the project plans, data, and content that you create using the Services. Bayris does not claim intellectual property rights over your content. Your rights are reserved in any data, information, records, and files that you load or transmit to the Services, subject to the limited license you grant Bayris to process such data for the purpose of providing the Services.
Bayris bears no responsibility for maintaining the confidentiality of information entered into project plans, charts, or other content created by you through the Services, even if such information is designated as "private," "unpublished," or "confidential." You are strictly and solely responsible for compliance with all relevant trade secret agreements, non-disclosure agreements, proprietary business agreements and procedures, and applicable laws concerning the information you submit, post, or display through the Services.
The Services utilize artificial intelligence provided by Anthropic, PBC (the Claude API) to generate project plans, and a proprietary constraint solver and Monte Carlo scheduler to produce schedules, estimates, and probability distributions. Both AI-generated plans and solver/scheduler outputs are provided "as-is" and are computational in nature. They do not constitute professional, financial, engineering, or legal advice. You understand and agree that: (i) AI outputs may contain errors, omissions, or inaccuracies; (ii) solver and scheduler outputs are mathematical approximations based on the constraints and parameters you provide and are subject to the limitations inherent in computational modeling; (iii) probability distributions and Monte Carlo estimates represent statistical projections, not guarantees of future outcomes; and (iv) you bear sole responsibility for independently verifying all outputs before relying on them for any decision of consequence.
BAYRIS MAKES NO WARRANTIES, REPRESENTATIONS, CONDITIONS, OR GUARANTEES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, ORAL OR WRITTEN, WITH RESPECT TO THE SERVICES FURNISHED IN CONNECTION WITH THIS AGREEMENT. THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND. BAYRIS HEREBY DISCLAIMS ALL EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, REPRESENTATIONS, OR CONDITIONS, WHETHER WRITTEN OR ORAL, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY; OF SATISFACTORY OR MERCHANTABLE QUALITY; ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE; TITLE; NONINFRINGEMENT; SECURITY; RELIABILITY; COMPLETENESS; QUIET ENJOYMENT; ACCURACY; INTEGRATION; OR FITNESS FOR A PARTICULAR PURPOSE. BAYRIS DOES NOT WARRANT THAT THE SERVICES WILL OPERATE WITHOUT INTERRUPTION OR BE ERROR FREE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BAYRIS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, LOST PROFITS OR REVENUE, LOSS OF DATA, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.
BAYRIS'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL NOT EXCEED IN THE AGGREGATE THE SUM OF THE FEES YOU HAVE PAID TO BAYRIS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (IF ANY). THE EXISTENCE OF ONE OR MORE CLAIMS UNDER THIS AGREEMENT WILL NOT INCREASE THIS MAXIMUM LIABILITY AMOUNT.
In addition to any other suspension or termination rights under this Agreement, Bayris may suspend, terminate, or modify your access to the Services, without notice and at Bayris's sole discretion, in order to: (i) ensure quality functioning of the Bayris infrastructure; (ii) comply with a law, regulation, court order, or governmental request; (iii) protect Bayris from potential legal liability or harm to its reputation or business; or (iv) address violations of the user responsibilities described in Section 6.
Bayris will not be responsible for any loss or damage resulting from any suspension or termination of access to the Services. In the event of a suspension, Bayris will use commercially reasonable efforts to restore your access as soon as the event giving rise to the suspension has been resolved. Bayris will also use commercially reasonable efforts to notify you of the reasons for such action as soon as reasonably practicable. Upon termination, your right to use the Services ceases immediately. Data stored in your browser remains on your device, and it is your responsibility to retrieve and back up any content before termination.
Except to the extent applicable law provides otherwise, this Agreement shall be governed by the laws of the State of California, United States of America, excluding its conflict-of-law provisions. Unless otherwise agreed in writing, all disputes relating to this Agreement (excepting any dispute relating to intellectual property rights) shall first be submitted to informal resolution between you and Bayris. If informal resolution is unsuccessful, disputes shall be submitted to final and binding arbitration in Santa Clara County, California, under the rules of the American Arbitration Association then in effect, with the losing party bearing all costs of arbitration. Nothing in this section shall prevent either party from seeking injunctive relief in a court of competent jurisdiction to protect its intellectual property rights.
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral. If any provision of this Agreement is held illegal or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to render it enforceable without losing its intent, or severed from this Agreement if no such modification is possible, and the remaining provisions shall remain in full force and effect.
A waiver by either party of any term or condition of this Agreement, or any breach thereof, in any one instance, shall not waive such term or condition or any subsequent breach. The provisions of this Agreement that require or contemplate performance after its expiration or termination shall be enforceable notwithstanding such expiration or termination. You may not assign this Agreement or any rights or obligations hereunder without Bayris's prior written consent. In the event of a change of control of Bayris, whether by merger, sale of assets, or otherwise, this Agreement and its associated rights shall be deemed transferred to the successor entity.
Neither party shall be in default or liable for any delay or failure in performance resulting directly or indirectly from any cause beyond its reasonable control, excepting the obligation to pay fees when due. The headings in this Agreement are used for convenience only and shall have no substantive meaning. The controlling language of this Agreement is English.
Bayris may change these Terms of Service from time to time. If changes are made, Bayris will update the "Last Updated" date at the top of this page. Your continued use of the Services following the posting of changes constitutes acceptance of those changes. You are encouraged to review these Terms periodically.
